1. In accordance with this agreement, Licensor grants Licensee a non-exclusive license to show images and videos on their website(s), Domains, Titels, Portals etc.

2. All pictures, small and big including text, videos, drawings and written text hereby represented by Noumidia Holdings Limited are the intellectual property and they are owned by the Noumidia Holdings Limited author and or agencies and may not be reproduced, stored, manipulated, duplicated, digitized, distributed or resold in any form available at present or in the future, without written permission of the Noumidia Holdings Limited or its author. All rights reserved worldwide. All productions and publications are protected by international copyright laws. Licensee agrees not to sell or distribute the images via any physical method (such as diskette, zipped file, CD-ROM, paper printing,or any other technology not specifically named in this document) without additional written permission and payment of fees. Licensee acknowledges that unauthorized reproduction of copies of the licensed material may constitute a serious crime, and that such actions may also result in a suit for damages, injunctive relief, and attorney fees, pursuant to this agreement and to other rights that the licensor may have.

3. It is strictly forbidden to use any of the production for spamming and/or advertising in any way, without prior written permission by Noumidia Holdings Limited or the author of the production.

4. This Agreement shall be governed by the laws of the European Union. Purchaser will indemnify and hold Noumidia Holdings Limited harmless from any legal matters relating to the distribution of the material as it relates to the community standards and adult entertainment laws as set forth in the city/county, state, province or country of Purchaser and their web sites. Noumidia Holdings Limited does not warrant this material to be acceptable in your community and Purchaser assumes full responsibility for determining what images are suitable for distribution. Noumidia Holdings Limited warrants the images were produced in compliance with provisions of Title 18 of the United States Code § 2257. All images included herein are intended for distribution exclusively to consenting adults in locations where the images do not violate any community standards or any federal, state or local laws or regulations of the United States or any other country. No person under the age of eighteen years of age may directly or indirectly view or possess any of the contents hereof. Purchaser acknowledges that the materials contain explicit visual, audio and/or textual depictions of nudity in situations of a sexual nature, and that you are familiar with such materials and that you are not offended by them. Purchaser represents and warrants that Purchaser is currently over the age of eighteen years and are capable of lawfully entering into this Agreement.

5. The Records of Custodians are stored at the producers and/or copyright owner. A list of the producers and/or copyright owners could be found her.

6. All of the material contained on the Product may be used as content by the Licensee. The Licensee may distribute the product to end user usage only. The product may not be placed on any location with the intent to resell the contents use to others.

7. Distribution of content by Licenee

The definition of the licence will be down by the licensee during the purchase process. The licensee can choose the form of the licensee he would like to purchase. Special forms of licence will be granted during the purchase process as they are defined in our database for the available content. For each licence the definitions are as written below:

a. Internet(Standard Licence)

All of the material contained on the Product may be used as "web content" on 10 defined domains owned by the Licensee. The Licensee may distribute the product only via internet website(s) which are intended for end user usage only. The product may not be placed on a website with the intent to resell the contents use to other webmasters.

b. Page Design/Layout & Banner (Layout Licence incl. Standard Licence)

Licensee may use all images for use in banners and web-page design elements for which he holds an extended licence. Banners with licensed material on them must be linked to a site owned by the licensee, and material used in webpage design elements must be located on a website owned by the licensee.

c. Partner Programs & Leased Galleries (incl. Layout & Standard Licence)

Licensee may use all images and videos for which he holds an extended licence for on his Partner Programs and leased galleries with the intention to give out the licensed content to third party webmasters. The Domains of the Sites where the Content will be used must be registered to the licensees name! Selling licenses for one time fees are not allowed. The licensed content must be serverd from the registered domain of the licensees which will be defined during the purchase process within the shop and is stored within our database.

d. Mobil Phone (incl. Layout & Standard Licence)

All of the material contained on the Product may be used as "Phone or/and MMS content" on all defined portals owned by the Licensee. The Licensee may distribute the product only via portals which are intended for end user usage only. The product may not be placed in any form with the intent to resell the contents use to others.

e. Print & Advertising (incl. Layout & Standard Licence)

All of the material contained on the Product may be used as content on all defined titels owned by the Licensee. The Licensee may distribute the product only via the defined titels which are intended for end user usage only. The product may not be placed in any form with the intent to resell the contents use to others.

f. CD Rom / DVD / Tapes / Disks (incl. Layout & Standard Licence)

All of the material contained on the Product may be used as content on all defined titels owned by the Licensee. The Licensee may distribute the product only via the defined Titels which are intended for end user usage only. The product may not be placed in any form with the intent to resell the contents use to others.

g. Television (incl. Layout & Standard Licence)

All of the material may be used by the Licensee for a limited time up to three (3) years with the intention to build TV-Formats by using the licensed content. Licensee may distribute the product only with the intended for end user usage only. The product may not be placed in any form with the intent to resell the contents use to others.

8. It is allowed to add small URLs to the images for the purposes of promotion.

9. It is not allowed to write down copyright information for the content of licensees information.

10. The creation of thumbnails, previews is allowed

11. Rezising. Clipping, Cutting, Rename of the photos and videos in any manner is allowed.

12. Extraxting of preview photos of the videos is allowed.

13. Changing of the file format and /or compression is allowed

14. Editing the files to make them more suitable for your usage is allowed, however, changing the content of the material (such as morphing or editing another person or object into the photo, or changing the appearance of one that is there), is NOT allowed.

15. Licensee will pay to Noumidia Holdings Limited a one-time lifetime fee specified on the purchase invoice. This license allows Licensee to use the Products on all registered and selected Domains, Titels, Portals etc. during the purchase process. All registered Domains, Titels, Portals etc. must be owned or operated by the licensee and must show the Licensees name on it within the publically accesable records (InterNIC or other registration agency & Forms). All websites that this material is used on must be defined within the personal records of Licensee within the shop. The License is automatically revoked if the Licensee declares bankruptcy, obtains a refund of the product payment, or causes the product payment to become invalid through any action,such as fraudulent use or credit card chargeback

16. The licensee must keep his personal Information within the shop actuell. All Licences are granted to the website(s), Domains, Titels, Portals etc. written within the licensees Information in the Shop. All licence information will be kept and handled online by the account information of the licence.

17. By purchasing any material via the Shop licence will accept this licence agreement.

18. Noumidia Holdings Limited assumes no responsibility for the information contained herein since contents are subject to errors, omissions and price changes without notice.
